Advised Haversham Holdings on its £1.2bn acquisition of BCA. The reverse takeover was funded by a placing of ordinary shares and a new debt facility with the company’s listing being moved to the standard listing segment of the Official List.
Advised on its standard listing on the Main Market of the London Stock Exchange. The prospectus, which was prepared in support of the London listing, was passported into Poland in support of a listing on the WSE making Prairie the only ASX, LSE and WSE-listed company.
Advised the management team of Mercury Pharma (a generic medicines business) on the secondary buy-out of the group by Cinven for an enterprise value of £465m.
Advised the international confectionery brand on its takeover of Main Market listed chocolatier Thorntons. The offer valued Thorntons at £111.9m.
Advised on the recommended cash offer by Bailey Acquisitions, an investment vehicle indirectly controlled by Lone Star Real Estate Fund IV
Acted for the issuer vehicle in a £650m Lehman originated RMBS structure. The decision in our client’s favour in the UK Supreme Court has become the market-leading case on balance sheet insolvency, and its application to structured finance, and has had significant repercussions across the securitisation world.
