BLP advises on cross-border acquisition of CalEnergy Gas

Law firm Berwin Leighton Paisner (BLP) recently advised on the English Law aspects of Toyota Tsusho Corp’s acquisition of CalEnergy Gas (Australia) Ltd.

CalEnergy has a 5% stake in Australia’s offshore Otway Gas Project and stakes in some other Australian gas and oil concessions. Toyota Tsusho, the trading company of the Toyota Group, will participate in Australian gas production and sales through the project that covers nearly 10% of gas demand in south-eastern Australia.

The transaction follows the acquisition by Origin Energy Limited in March this year of an additional 36% stake in the Otway Gas Project, which valued the project at approximately AUS$1.44bn.

The BLP team was led by corporate finance partner, Alex Latner and he was assisted by Michael Jadeja and Richard Harbot (tax).

The Perth office of law firm Blake Dawson advised Toyota Tsusho on the Australian Law aspects of the acquisition.
