BLP advises Numis Securities in the re-domiciliation of Beazley plc

International law fir­­m Berwin Leighton Paisner (BLP) has advised Numis Securities as sponsor in relation to the re-domiciliation of FTSE 250 insurance company Beazley plc to the UK, to be affected by way of a “top hat” scheme of arrangement.

Completion of the deal is conditional upon shareholder approval at a meeting convened by the Jersey Court and a separate meeting of Beazley shareholders. The scheme of arrangement is expected to become effective and admission of the issued share capital of new Beazley to the Official List (premium segment) of the UK Listing Authority and to trading on the Main Market of London Stock Exchange plc is expected to occur on 13th April 2016.

Beazley’s market capitalisation as at close of business on 24 February 2016 was £1.95 billion. Mayer Brown are advising Beazley.

The BLP team was led by Corporate Finance Partner Julian Stanier and assisted by Associate Director Gareth Jones. Specialist insurance advice was provided by new Partner Geraldine Quirk, who joined the firm in December 2015.
