BLP advises Diligenta Limited on £100m BPO outsourcing contract

Berwin Leighton Paisner LLP (BLP) represented Diligenta Limited, the UK subsidiary of Tata Consultancy Services Limited specialising in business process outsourcing (BPO) in the life and pensions sector, on its £100m contract with Sun Life Assurance Company of Canada (UK) Limited (SLF UK) which is set to commence in May.

Diligenta’s appointment was a strategically important step to expand this company’s business in the UK.  Diligenta was formed in 2006 out of the deal between Pearl Group and TCS to provide BPO services to Pearl Assurance, NPI and London Life. 

The appointment encompasses BPO for SLF’s UK life and pensions operation. The business processing was outsourced in 2002 following SLF UK’s closing to new business in 2001.  Diligenta won the SLF UK business in a competitive tendering process.

BLP was instructed on the project after being appointed to Diligenta’s legal panel following a panel review in mid 2007. The BLP team advising Diligenta was led by Mark Lewis, the head of BLP’s outsourcing practice. Mark was assisted on the commercial and outsourcing aspects of the negotiations by associates Alex Lundie and Katherine Ollerhead.  BLP also advised on additional areas applicable to the outsourcing arrangements, including advice on the transfers of employment and on pensions for the 200+ employees transferring to Diligenta. BLP associates Nicole Hallegua and Martha Quinn provided specialist advice on employment, TUPE and pensions.
