Data technology

Led the international legal team advising Crossrider, the ‘big data’ driven ad-tech company, on its 2014 US$250m AIM IPO and US$75m fundraising, including advising on its pre-IPO restructuring to establish an Isle of Man holding company, co-ordinating advice in Israel, Cyprus, Romania, the BVI and the Isle of Man and establishing its corporate governance framework at board and shareholder level.


Property development

Acted for property developer Terrace Hill in negotiating the terms of its £95m reverse takeover of strategic residential land company Urban&Civic, the move-up of the combined group from AIM to the Official List, and advised on the related UK/US £170m fundraising run by J.P. Morgan Cazenove and Oriel Securities and the linked employee offer.


Financial Intermediaries

Acted for Collins Stewart and Barclays Capital as joint underwriters and book runners on the £100m “cash-box” firm placing and rights issue of Development Securities.


Consumer Service

Acted for Redde in its successful turnaround, including negotiating its debt for equity swap with its syndicate banks and advising on its related capital restructuring, delisting from the Official List, admission to AIM, management incentive arrangements and £87m firm placing and open offer.


Financial services

Advised Blackstone Tactical Opportunities and TPG Special Situations Partners in connection with their £180m acquisition from Investec of Kensington, the specialty residential mortgage lender with gross mortgage assets of £3.7bn, and their acquisition of Acenden mortgage servicing from the administrators of Lehman, in both transactions dealing with complex Consumer Credit Act issues.


Real Estate

Acted for Quintain, the real estate development and investment company whose primary assets surround Wembley stadium, on its £745m recommended takeover by Lone Star.
