Biography

  • 30+ years’ experience working across the UK and Middle East. In addition to 5 years’ accountancy experience within banking & construction. 
  • Primarily focused on real estate development and investment, including funds, finance and joint ventures.
  • Specialising in corporate, commercial and hospitality matters.
  • Examples of recent projects include: the development and structuring for a new island community in Abu Dhabi, the acquisition of St Regis hotel on Saadiyat Island, and a high profile joint venture for a regional shopping centre in Abu Dhabi. 
  • Clients vary from the Department of Municipal Affairs (Abu Dhabi),  TDIC (developer of major tourism destinations in Abu Dhabi) and Mubadala (an investment and development company supporting the growth of a dynamic and diversified UAE economy).  
  • Notable achievement: advised on a ‘major market listing’ (in 2013) between London AIM & UAE, Oman, Saudi Arabia, Bahrain, Kuwait & Australia (managing 6 local firms).

Action Hotels

Advised on various joint venture/partnering structures for new developments in the UAE, including local/non-national co-investments under a corporate ‘wrapper’ (under non-national control), employing Opco/Propco structures for development activities. Advising on ‘template’ hotel management agreements, and a wide range regulatory and management issues. Due to multiple jurisdictions & multiple Action hotels there were challenges keeping the project teams working in synch.

TDIC Saadiyat development

Advised on a large scale (15sq km) mixed-use development of land for a privately developed island project (Saadiyat Island). This was a significantly complex transaction which included the drafting of all of the development, sale and purchase documentation and plot sales for the Island (as well as other related projects).

The District Shopping Centre

A unique and rare deal involving a complex joint venture arrangement under which a government-backed developer partnered with a private overseas fund to provide the finance in relation to the development of a major new ‘regional’ shopping centre in a key and high-profile location in Abu Dhabi city.

Aabar Properties

Advised Aabar properties on their Abu Dhabi and Dubai investments and developments, including at Al Raha Beach, Abu Dhabi, assisting with the Master Developer issues and negotiations in relation to various developments and projects, including construction and procurement issues. Also advising on various Hotel management agreements and related licensing/branding documentation.

Abu Dhabi United Hospitality

Advised on the Saadiyat island hotel transaction sale and purchase by a privately owned investment vehicle. It was a unique large scale, complex and difficult deal due to simultaneous renegotiations with Starwood.

Emirates Palace

Advised on the renegotiation of the management agreement with Kempinski Hotels for the management of the Emirates Palace. A difficult, high profile, technically challenging project due to the tight timescale and the expiry of the management agreement.
