With seven partners and 18 other specialist lawyers, we have one of the UK’s largest, most experienced and varied Commercial practices. We represent major UK and international businesses in relation to Commercial transactions across a variety of sectors. We were awarded TMT Team of the Year at the Legal Week British Legal Awards 2011.

Within the Commercial practice we have four partners and five associates with specialist experience in payments services. We advise our clients on their ongoing business and trading requirements, from strategic relationships to business as usual arrangements. We provide commercially focused advice on all types of commercial relationships, for example joint ventures, franchising, agency and distribution agreements, supply/procurement of goods and services, facilities management and sponsorship. We also provide in-house teams with day-to-day support, templates, guidance notes and other tools for negotiating commercial contracts.

In particular, we can advise you on:

  • all types of arrangements with payment processors, financial institutions, mobile network operators and trusted service managers;
  • near field communications including contactless payments;
  • IT aspects, including specialist platforms and software development, software and product licensing, support and maintenance and white-labelling (procurement and supply);
  • intellectual property (brand protection, rights assertion, etc); and
  • marketing affiliation, advertising arrangements and sponsorship.

Internet technology

We have deep expertise in advising clients in sectors where growth is driven by business models which rely on Internet technology. For example, for the past two years we have been advising Tesco on its soon-to-be-launched marketplace offering which will compete head-to-head with Amazon. Our practice includes all types of Internet businesses, from retailers such as Tesco who are using the Internet for innovative e-commerce models, to rights-holders such as Guardian News & Media and Lonely Planet, who are using the Internet to commercialise creative content.

Our combined understanding of both the market, having advised both the supplier and customer side, and the anatomy of transactions, business models, services and product offerings in the payments services sector, means that we can foresee and manage potential issues for our clients before they arise.
