Examples of our international work
We advise clients on the full range of international business law matters including: cross-border M&A transactions; merger controls and cartel investigations; high value disputes; multi-jurisdictional employment issues; real estate investments; debt and equity financings; major overseas infrastructure projects; sophisticated tax structuring and global intellectual property protection etc. Some specific examples include:
- Cross-Border M&A: We advised Mid Europa Partners, the private equity firm that specialises in Central and Eastern Europe, in the acquisition of 82.5% stake in One GmbH, the Austrian mobile operator for €1.16billion.
- Real Estate Finance: We advised Propinvest on the financing of its €1.9billion acquisition of the Global Headquarters complex of Banco Santander in Madrid. This was the largest ever European real estate acquisition.
- Energy: We advised Oman Power and Water Company on the US$2billion procurement of the new Barka III and Sohar II Independent Power Plants.
- Project Finance: We advised Interhealth Canada Limited on its procurement of two hospital facilities to be built on Grand Turk and Providenciales. This was the first ever PPP in the Caribbean and was significant as it comprised the provision of both hospital facilities management services and a full range of clinical services.
- EU & Competition: We advised Business Objects S.A., the American - French software company, on its successful application to the European Commission for merger clearance of SAP AG’s €4.8billion takeover offer.
- Intellectual Property: We advise companies such as Financial Times, Tie Rack and FTSE on their global trade mark portfolio, project managing the registration and protection of their trade marks in multiple countries around the world.
- International Arbitration: We acted for a major European contractor on a series of ICC arbitrations arising out of major infrastructure works involving the construction of airforce bases, accommodation complexes and other military facilities in across Saudi Arabia.
- Construction: We advised Saraya Holdings in relation to the procurement of a US$1billion leisure resort complex and related infrastructure on the Gulf of Aqaba in Jordan.
