Our Investment Management group comprises lawyers specialising in corporate, regulatory, taxation and finance law.  Our team provides fully integrated UK and US legal advice relating to fund structuring and promotion.

We work closely with our award winning Tax practice. In an area where tax efficiency is key, the Tax team advises on all tax aspects of the types of funds outlined below. They also give commercial and practical advice to Fund managers on carry/promote planning. The Tax team works closely with our overseas offices and extensive preferred firm network on complex international fund structures to give a global tax reach. The team participates in industry groups and Treasury/HMRC consultation processes in relation to REITs, PAIFs and investment funds generally.

We are recognised as one of the market leaders in structuring indirect real estate investments, acting for several of the most active fund structures.  We regularly advise on the most appropriate vehicles (onshore and offshore) to use for joint venture investments, as well as the establishment of limited partnership and unit trust based funds. Our work covers the full remit of activity in this area from advising on the establishment of the structure, to assisting with fund restructuring, transitional changes and exit strategies, both on behalf of the partnership and individual investors. 

We advise on corporate, partnership and trust structures for hedge funds, and have worked extensively with a wide variety of open and closed ended vehicles. We are also experienced in dealing with master-feeder funds, parallel funds and fund-of-fund structures. In addition to fund sponsors, our clients have included investors, distributors and other service providers. We advise on distribution, valuation and redemption procedures and arrangements for safe custody, prime brokerage and administration.

We advise on the formation, structuring and negotiation of private equity and venture capital funds. Our clients include all parties associated with funds - promoters, managers, advisers and investors. In designing a fund, we are well aware of the types of transactions that may be undertaken during the life of the fund and considerations relating to exit routes and liquidity.  We also advise fund sponsors with respect to their internal partnerships, co-investment arrangements and personal investments.
