Advised on the establishment and successful capital raising of Clearbell Property Partners II LP, a private equity real estate fund, attracting commitments of £400m from 40 investors around the world. We have since been advising the fund on a variety of co-investment arrangements and underlying transactions.
Advised the world’s largest real estate investment management firm, with $87.6bn of assets under management, on the merger of two of its UK-focused property funds – CBRE’s flagship UK Property Fund (formerly the Lionbrook Property Fund) with the UK Property Income Fund. This included the restructuring and modernisation of the fund’s constitutional documents and management agreements.
Having advised on the establishment of its residential fund, a multi-disciplinary BLP team including regulatory and tax & funds specialists, advised M&G on the creation of a Luxembourg-based fund. It was seeded with an initial portfolio of £500m UK commercial property, previously owned by Prudential Pensions, the founder investor in the fund.
Advised the UK-focused private equity real estate firm on creating its third and biggest fund, Frogmore Real Estate Partners III, raising close to £400m of equity from a broad range of global institutional investors. We also subsequently advised the fund on its purchase of the Notting Hill Gate Estate from The Pears Group and LaSalle Investment Management for £215m.
Advised the UK REIT specialising in generating long term, inflation protected, secure income from real estate investments on its £293m AIM IPO and £15m fundraising.
Advised Axiom European Financial Debt Fund Limited in connection with its launch and admission to the Specialist Fund Market of the London Stock Exchange. The fund raised £50.7 million as part of the IPO and has established a placing programme under which it can issue up to 500 million additional shares over the following 12 months.
We have acted for GCP Infrastructure Investments Limited, a London-listed infrastructure debt fund, since its launch. We advised on the company’s IPO on the London Stock Exchange’s Main Market and have since advised on a series of further capital raisings and other corporate transactions. The company now has a market capitalisation in excess of £700m and is a member of the FTSE 250.
